"Subscription Plan": refers to the tiered access options (including Annual and Premium plans) available to Clients for the Data Center Intelligence product.
"Content": refers to all information, data, analysis, reports, charts, dashboards, and other materials made available by BNPCORPS.
"Order": means any purchase made by the Client through the Website or via the BNPCORPS sales process.
2. Scope of Agreement
These Terms apply to:
a) All purchases and Using of BNPCORPS products and services including Ecommerce, Smart wallet, Fintech, Custody etc.
b) All subscriptions to the Data Center Intelligence platform; and
c) All interactions with the BNPCORPS Website, including accessing free and paid content.
3. Orders, Pricing, and Payments
3.1. Order Process: Orders may be placed via the Website or directly through BNPCORPS and Network's sales representatives. All orders are subject to acceptance and confirmation.
3.2. Payment Terms: Full payment must be made prior to the delivery of reports or activation of subscription access unless otherwise agreed in writing. All payments shall be made in the currency specified on the invoice.
3.3. Taxes: Prices are exclusive of applicable taxes, which will be added as required by law. Clients are responsible for payment of all taxes, duties, or levies applicable to their purchase.
3.4. Refund Policy: Due to the nature of the digital products sold, all sales are final. No cancellations, exchanges, or refunds are permitted once the product has been dispatched or subscription access granted.
3.5 Products purchased at the Ecommerce Shopping Mall and at the store are generally exchangeable or refundable with the purchase receipt. If there is no notice of no exchange/refund, e-commerce can be withdrawn within 7 days. Tax Refund is available on purchases over $100 and must be applied at the airport or store before departure.
• Store purchase refund: Each store has a different refund policy, so you need to check what's on the receipt.
• Online/e-commerce: Exchange or refund is available within 7 days, and no return notice is legal.
4. Delivery and Shipping
4.1. Digital Delivery: All industry reports and related products are delivered electronically via email as PDF, Word, or Excel documents within 24 to 72 hours of purchase. Pre-booked or pre-release reports will be delivered on the scheduled release date.
4.2. Delays and Force Majeure: Mordor Intelligence shall not be held responsible for any loss or damage arising directly or indirectly from delays or failure to deliver products due to causes beyond our reasonable control, including but not limited to natural disasters, war, strikes, civil unrest, or government restrictions. Delivery time will be extended accordingly, allowing reasonable time to fulfill your order.
4.3. Electronic Product Integrity: Clients must ensure that their email systems and IT infrastructure are capable of receiving electronic files. BNPCORPS is not liable for delivery failures caused by Client-side technical issues.
4.4. Local Shipping & International Shipping
1. Local Shipping (In Singapore)
• Delivery Speed: Most malls offer Standard Delivery within one to three business days.
• Shipping fee: Free shipping will be provided for purchases over SGD over a certain amount, and shipping fee will be incurred if it is less than that.
4.5. International Shipping and Customs Clearance (Overseas -> Singapore)
• GST (Goods Service Tax) Imposed: From January 1, 2024, a 9% GST will be imposed on imported cargo (goods price + shipping cost) in excess of SGD 400.
• Customs clearance: Upon arrival in Singapore, it is supervised by the Immigration Department (ICA) and Customs, and the recipient may be required to pay taxes via SingPost or the courier app.
• Prohibited/restricted items: Tobacco, gun-shaped toys, explosives, combustible gases, pharmaceuticals (Report required for more than 3 months) are restricted.
5.Intellectual Property and Use of Content
5.1. Ownership: All content, reports, data, and materials provided by BNPCORPS, including those accessible on the platform, are protected by copyright and other intellectual property laws. All rights are either owned by BNPCORPS Private Limited or licensed to it.
5.2. Permitted Use: Clients are granted a limited, non-exclusive, non-transferable right to use the purchased content or platform for internal business purposes only.
5.3. Prohibited Use: Without prior written consent from BNPCORPS, you may not:
Resell, distribute, copy, or reproduce content in any format;
Share login credentials or redistribute platform access to unauthorized users;
Use content to create derivative products or competitive services; or
Use the Website or platform in any unlawful or unauthorized manner.
5.4. Breach and Enforcement: Any breach of this section may result in immediate termination of access, civil liability, and/or criminal prosecution.
6. Website Use and Content Disclaimer
6.1. Informational Nature of Content: The information provided on the Website is offered in good faith for general informational purposes. No warranties are made regarding its accuracy, completeness, or suitability for a particular purpose.
6.2. Liability Limitation: BNPCORPS shall not be liable for any loss or damage, direct or indirect, arising from use or inability to use the Website or any content therein. This includes, but is not limited to, lost business opportunities, profits, or data.
Nothing in these Terms limits liability for personal injury or death caused by negligence.
6.3. User Communications: By submitting personal information through any form on the Website, you consent to being contacted by BNPCORPS representatives by phone or email.
7. Data Protection and Privacy
Your personal data will be collected, used, and processed in accordance with our Privacy Policy, available on our website. By using our services, you consent to such processing.
8. Confidentiality
All purchased reports and subscription data are provided under strict confidentiality. Clients agree not to disclose any non-public information obtained through BNPCORPS to third parties without written consent.
9. Limitation of Liability
To the fullest extent permitted by law, BNPCORPS, its affiliates, and licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to:
Use of the Website or BNPCORPS platform;
Inaccuracies in data or content;
Loss of profits or business interruption; or
Unauthorized access to your account or information.
10. Indemnification
You agree to indemnify and hold harmless BNPCORPS, its directors, employees, and agents from any claim, loss, or damage arising out of your violation of these Terms or misuse of any BNPCORPS product or platform.
11. Termination
BNPCORPS reserves the right to terminate or suspend your access to its website or services without notice if you breach these Terms or engage in misuse of the content.
12. No warranty
BNPCORPS does not guarantee the continuous availability of this website or the accuracy, completeness, or suitability of the information provided herein. You are responsible for the use of this website.
13. governing law and jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the competent court of Singapore.
